1. Authentic Promotion:

  • Share your genuine experiences and beliefs regarding Silvery Blue and The Women’s Health Clinic services.
  • Engage your audience through honest storytelling and personal testimonials.
  • Avoid making unfounded claims or exaggerating the effects of our services.

2. Branding and Materials:

  • Use only the specific Brand Ambassador Logo provided to you for any promotional content.
  • Do not alter, combine, or modify the Brand Ambassador Logo or use any other Silvery Blue and The Women’s Health Clinic branding materials without explicit permission.
  • Ensure your promotional materials comply with our brand tone, focusing on care, support, and professional advice.

3. Respectful Communication:

  • Do not engage in cold calling, unsolicited messaging, or any form of harassment.
  • Promote our services responsibly, only among your followers or individuals with whom you have an established relationship.
  • Always maintain a respectful, kind, and professional demeanor when representing our brand.

4. Transparency:

  • Clearly disclose your partnership with Silvery Blue and The Women’s Health Clinic in all promotional content.
  • Follow all applicable laws and guidelines related to advertising, including the disclosure of affiliate links or referral codes.

5. Privacy and Confidentiality:

  • Do not share personal information or confidential details about clients or patients you may come across.
  • Respect everyone’s privacy and rights, adhering to the highest ethical standards.

6. Feedback and Communication:

  • Provide us with feedback on the ambassador program and your promotional activities. Your insights are valuable for our mutual growth.
  • Stay in touch with our team for updates, support, and any questions you may have regarding your role as an ambassador.

7. Compliance and Ethics:

  • Uphold the integrity and reputation of Silvery Blue and The Women’s Health Clinic by avoiding any unethical, illegal, or inappropriate behavior.

8. No Hard Selling:

  • Focus on sharing information and offering support rather than aggressive selling tactics.

**UK Affiliate Agreement**

**1. Parties and Appointment**
This Affiliate Agreement (“Agreement”) is entered into on \[Date] between:

* **The Women’s Health Clinic LTD** (“Company”), registered in England & Wales (Company No: 10251173), with its registered office at 3 Warwick Road, London E15 4JZ; and
* **Affiliate** (“Affiliate”), an individual or entity with details provided in your introductory email.

The Company hereby appoints the Affiliate, and the Affiliate accepts appointment, to promote and refer prospective customers to the Company’s services via unique tracking links, subject to the terms below.

**2. Definitions**

* **”Affiliate Link”**: a unique URL or code provided to the Affiliate for tracking referrals.
* **”Referred Customer”**: an individual who accesses the Company’s services via an Affiliate Link and completes an eligible transaction.
* **”Commission”**: the fee payable to the Affiliate for each Referred Customer, as set out in your introductory email.

**3. Affiliate Obligations**
3.1 **Marketing Standards**: Affiliate shall conduct all marketing lawfully, ethically, and in accordance with the UK CAP Code, ASA guidance, and any relevant national health-care advertising rules.
3.2 **Disclosures**: Affiliate must prominently display on all promotional materials a clear, legible disclosure of the material connection (e.g., “We may earn a commission on purchases made via this link.”).
3.3 **Prohibited Practices**: Affiliate shall not make any misleading claims about the efficacy, safety, or regulatory status of the Company’s services, nor target vulnerable groups or offer medical advice.

**4. Data Protection**
4.1 **Compliance**: Both parties shall comply with the UK GDPR and Data Protection Act 2018 when handling personal data.
4.2 **Roles**: If Affiliate acts as a processor or joint controller, they shall execute a Data Processing Addendum in the form set out at Schedule C.
4.3 **Security**: Affiliate shall implement appropriate technical and organisational measures to protect personal data.

**5. Commission and Payment**
5.1 **Commission Terms**: Commission rates, payment schedule, and any chargeback or clawback provisions are detailed in your introductory email.
5.2 **No Additional Fees**: The Affiliate acknowledges that the agreed Commission terms constitute the sole remuneration and waives rights to any additional payment.

**6. Intellectual Property**
6.1 **Licence**: Company grants the Affiliate a non-exclusive, revocable licence to use approved trademarks, logos, and marketing materials solely to perform under this Agreement.
6.2 **Restrictions**: Affiliate shall not alter, adapt, or create derivative works of the Company’s IP without prior written consent.

**7. Compliance and Audit**
7.1 **Monitoring**: Company reserves the right to audit Affiliate’s marketing activities, websites, and records to verify compliance.
7.2 **Remedies**: Material breaches, including non-disclosure, unlawful marketing, or data breaches, permit immediate suspension or termination and withholding of Commissions.

**8. Term and Termination**
8.1 **Term**: This Agreement commences on the Effective Date and continues until terminated.
8.2 **Termination for Convenience**: Either party may terminate with 30 days’ written notice.
8.3 **Termination for Cause**: Immediate termination upon material breach or insolvency.
8.4 **Effect of Termination**: Affiliate shall cease all use of Affiliate Links and return or destroy Company materials.

**9. Warranties and Liability**
9.1 **Mutual Warranties**: Each party warrants it has the power to enter into this Agreement.
9.2 **Limitation of Liability**: Company’s aggregate liability shall not exceed total Commissions paid in the prior 12 months.

**10. Governing Law and Jurisdiction**
This Agreement is governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.

**UK Affiliate Policy**

**1. Purpose and Scope**
This policy sets out the principles, standards, and procedures for engaging affiliates to market The Women’s Health Clinic LTD in the UK. All affiliates must adhere to this policy to maintain a compliant partnership.

**2. Affiliate Recruitment**

* **Eligibility**: Affiliates must be of legal age, based in the UK or EU, and possess a valid business registration if applicable.
* **Application**: Prospective affiliates complete an online application form, including marketing channel details, audience demographics, and data-handling practices.
* **Approval**: The Company conducts due diligence, including compliance checks against ASA rulings and data-protection credentials.

**3. Marketing Standards and Compliance**

* **Advertising Law**: Affiliates must follow the UK CAP Code, ASA guidance on health-care claims, and the Consumer Protection from Unfair Trading Regulations 2008.
* **ASA Reporting**: Affiliates must notify the Company promptly of any ASA complaints or adjudications concerning their marketing.
* **Content Review**: The Company may require pre-approval of landing pages, emails, or social-media creatives.

**4. Disclosure Requirements**
Affiliates shall use the Company’s standard disclosure statement, clearly visible before any promotional claim or link, and tag links with rel=”sponsored” and rel=”nofollow” attributes for SEO compliance.

**5. Data Protection and Privacy**

* **Privacy Notice**: Affiliates must include or link to the Company’s Privacy Policy where personal data is collected.
* **Data Agreements**: Execution of the Company’s Data Processing Addendum is mandatory before any data collection.

**6. Commission Structure**

Commission rates, payment schedule, and any related terms are as set out in your introductory email.

**7. Monitoring and Enforcement**

* **Ongoing Audits**: Quarterly audits of affiliate websites and promotional materials.
* **Corrective Actions**: Affiliates in breach receive a written warning and a 14-day cure period. Unresolved or serious breaches lead to suspension and termination.

**8. Review and Updates**
This policy is reviewed annually or upon significant legal or regulatory changes. The Company will notify affiliates of updates and require written acknowledgement.
